MLADU Terms of Use

1.0 Acceptance of Terms

Welcome to MLADU's website. By accessing or using our website, you agree to be bound by these Terms of Use ("Terms"), which constitute a legally binding agreement between you and MLADU ("Company," "we," "us," or "our"). If you do not agree to these Terms, please do not access or use our website or services.

2.0 User Registration and Accounts

2.1 Registration Requirements

To use MLADU's services, your company must sign a service agreement with us. MLADU will schedule and conduct an onboarding session with key organization administrators (primary users). Up to two administrators are allowed per account.

2.2 Account Options

Companies have two options for user management:

  • Option A: MLADU provisions users directly into the system
  • Option B: MLADU integrates with the company's internal identity management system

2.3 User Information

When creating user accounts directly in the MLADU system, we collect the following information:

  • First name
  • Last name
  • Email (used as the unique identifier within our system)
  • Title
  • Work phone number

This information is collected to accurately maintain audit records of who is associated with data transfers and to communicate with users about questions or issues.

2.4 Age Restriction

All users must be 18 years of age or older.

2.5 Account Security

You are responsible for maintaining the confidentiality of your account information and password. You agree to notify MLADU immediately of any unauthorized use of your account or any other breach of security.

3.0 User Conduct

3.1 Prohibited Behavior

The following types of behavior are strictly prohibited on our website and system:

  • Abusive, derogatory, or condescending language
  • Use of curse words or inappropriate images
  • Content, language, or images that target race, religion, gender, sexual orientation, country of origin, or disability
  • Scraping, copying, or downloading content for piracy
  • Harassing, bullying, spamming, or threatening users
  • Posting credentials in plain text
  • Posting or sharing illegal content
  • Falsely representing oneself to request or approve data transfers
  • Falsely representing oneself as an authorized organizational representative to manage access, financials, payment, system usage, or organizational settings

3.2 Compliance with Laws

You agree to comply with all applicable local, state, national, and international laws and regulations while using our website and services.

4.0 Intellectual Property Rights

4.1 MLADU Content

All content on the MLADU website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, is the property of MLADU or its content suppliers and is protected by international copyright laws.

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use our website for its intended purpose, subject to these Terms.

4.3 Restrictions

You may not:

  • Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from our website
  • Use any automated means to access our website or collect any information from the website
  • Use our website in any manner that could damage, disable, overburden, or impair our servers or networks

5.0 Data Usage and Pricing

5.1 Pricing Model

MLADU pricing is based on data usage costs, not on user headcount.

5.2 User Management

For companies choosing option A (MLADU provisions users), we add or remove users through user support requests in the system.

5.3 Service Modifications

We reserve the right to modify or discontinue, temporarily or permanently, our service (or any part thereof) with or without notice.

6.0 Privacy and Data Protection

6.1 Personal Data Collection

We collect first name, last name, email, title, and work phone number from users.

6.2 Data Security

All personal data will be encrypted in transit and at rest. The data will be stored in a data store to which access is restricted to only senior MLADU team members who may need to access this data to troubleshoot access or audit issues.

6.3 Privacy Policy

Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and protect your information.

7.0 Limitation of Liability

7.1 No Warranties

Our website and services are provided on an "as is" and "as available" basis. MLADU makes no representations or warranties of any kind, express or implied, as to the operation of our website or the information, content, materials, or products included on our website.

7.2 Limitation of Liability

To the full extent permissible by applicable law, MLADU disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose. MLADU will not be liable for any damages of any kind arising from the use of our website, including, but not limited to direct, indirect, incidental, punitive, and consequential damages.

8.0 Indemnification

You agree to indemnify, defend, and hold harmless MLADU, its officers, directors, employees, agents, licensors, and suppliers from and against all losses, expenses, damages, and costs, including reasonable attorneys' fees, resulting from any violation of these Terms or any activity related to your account.

9.0 Termination

We reserve the right to terminate or suspend your access to our website and services, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

  • Access our "Ask A Question" page on the public-facing www.mladu.com site without having to log in

11.0 Changes to Terms

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of our website following any changes constitutes your acceptance of such changes.

12.0 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the District of Columbia, without regard to its conflict of law provisions.

13.0 Dispute Resolution

13.1 Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be first resolved by binding arbitration administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. The arbitration shall take place in Washington, DC, and shall be conducted in the English language. The arbitrator's award shall be final and binding on the parties and may be entered as a judgment in any court of competent jurisdiction.

13.2 Waiver of Jury Trial

BY AGREEING TO THESE TERMS, YOU AND MLADU ARE EACH WAIVING THE RIGHT TO A JURY TRIAL.

13.3 Class Action Waiver

ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency equitable relief before a court of competent jurisdiction to maintain the status quo pending arbitration or to protect rights that cannot be adequately protected through arbitration.

14.0 Jurisdiction

All parties agree that the courts of the District of Columbia shall have exclusive jurisdiction over any disputes arising under these Terms that are not subject to arbitration. You hereby consent to the personal jurisdiction of the courts located in the District of Columbia for any action arising out of or relating to these Terms or your use of our website and services.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
